Global Terms of Use

These Terms of Use (“Terms”) form a binding agreement between you and Three Guys s.r.o. governing your access to and use of the LAYX application, websites, and associated services worldwide. By generating a vault, installing the mobile application, or accessing the website, you acknowledge that you have read, understood, and agreed to these Terms.

1. Eligibility & Age Verification (Strict 18+ Rule)

LAYX is an adult community and inventory application designed exclusively for individuals who care about their everyday carry, horology, tools, and gear.

• You must be at least 18 years of age (or the statutory age of majority in your jurisdiction, whichever is older) to use LAYX.
• You must possess full legal capacity to enter into a binding contract under applicable law.
• If you are under 18 years of age, you are strictly prohibited from using LAYX. Any account identified as belonging to a minor will be immediately and permanently terminated.

2. Zero-Tolerance for Objectionable Content & User Conduct (Apple App Store Guideline 1.2 Compliant)

You agree that you will not post, upload, transmit, distribute, or link to any User Content that:

• Harassment & Hate Speech: Promotes violence, harassment, stalking, bullying, defamation, or hate speech targeting individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or age.
• Sexual & Violent Content: Depicts sexually explicit material, nudity, pornography, extreme violence, gore, or content that glorifies self-harm or terrorism.
• Unlawful Activity: Promotes or facilitates illegal activity, or depicts goods that you are not legally authorized to possess under the laws of your jurisdiction.
• Impersonation & Deception: Impersonates any individual, brand, or LAYX staff member, or uses deceptive identifiers.
• Spam, Automation & Scraping: Involves automated bots, scrapers, commercial advertisements, affiliate spam, phishing, or mass solicitations.

Reporting & Blocking Mechanisms:

• In-App Reporting: You can report any Drop, item, or direct message conversation with a single tap via the flag/report menu.
• 24-Hour Review SLA: Our moderation team reviews all flagged content within 24 hours. Content that violates our zero-tolerance policy is removed immediately, and the offending account is permanently banned.
• In-App User Blocking: You can block any user at any time. Blocking immediately hides all of that user's posts, drops, and interactions from your view, and prevents them from seeing your drops or contacting you.

3. Non-Commercial Policy: Not a Marketplace (Strict No-Sales Rule)

LAYX is a personal cataloging tool, morning ritual, and peer community. LAYX IS NOT A MARKETPLACE OR E-COMMERCE PLATFORM.

• Prohibition on Buying, Selling & Trading: You may not buy, sell, trade, auction, barter, price, broker, or solicit the sale of any item anywhere within LAYX (including within Drop photos, captions, item titles, spec fields, or direct messages).
• No Commercial Solicitations: Any attempt to conduct commercial sales, affiliate promotions, or brokering will result in immediate and permanent account termination.

4. Compliance with Local Laws Regarding Knives, Tools & Firearms

Because LAYX is accessible worldwide, enthusiasts in different countries, states, and municipalities are subject to vastly differing legal frameworks regarding everyday carry items.

• Knives, Blades & Tools: You are solely and exclusively responsible for ensuring that any knife, multi-tool, or item displayed in your Daily Drop is legal to possess and carry under the laws of your specific country, region, state, and municipality (including, but not limited to, laws regarding blade length, locking mechanisms, automatic/gravity opening, and public carry such as the UK Offensive Weapons Act, Germany's § 42a WaffG, and US state/city ordinances).
• Dedicated Hunting & Sport Shooting Space:
  • Firearms and ammunition may only appear in the separate, dedicated hunting and sport shooting bay, which is turned off by default.
  • Users must affirmatively enable this space in their profile settings, confirming that they are legal adults (18+) and lawfully own all items under local firearms regulations.
  • Absolute Firearms Trade Prohibition: The commercial or private sale, trade, brokering, or advertising of firearms, weapon parts, or ammunition is strictly prohibited on LAYX without exception.
  • No Modification or Conversion Instructions: Disseminating instructions for 3D-printing firearms, converting semi-automatic mechanisms, or manufacturing illegal suppressors/accessories is strictly prohibited and will be reported to law enforcement where required by law.

5. Non-Custodial Architecture & Your 12-Word Seed Phrase

Your LAYX account is anchored to a 12-word cryptographic seed phrase generated entirely offline on your physical device:

• Sole Responsibility: You hold sole, non-custodial responsibility for safeguarding your 12-word recovery phrase. LAYX does not maintain a copy, cannot view it, and has no technical ability to reset or recover your phrase.
• Irrevocable Loss: If you lose your 12-word seed phrase, you permanently lose access to your account and your encrypted Sealed Vault records. LAYX cannot decrypt or recover your data under any circumstances.
• Keep Offline: Anyone who accesses your 12 words can access your vault. Store your phrase securely offline and never share it with anyone. LAYX personnel will never ask for your recovery phrase.

6. Intellectual Property & User Content License

• Ownership: You retain full copyright and ownership of all photographs, captions, and gear catalog data you submit to LAYX (“User Content”).
• Limited Operational License: By posting User Content, you grant Three Guys s.r.o. a worldwide, non-exclusive, royalty-free, transferable license solely for the technical operation, hosting, caching, and display of your User Content to authorized community members in accordance with your privacy settings and the features of LAYX.
• Representations: You represent and warrant that you own or have obtained all necessary intellectual property rights and permissions to post the photos and content you upload.
• Third-Party Trademarks & Nominative Fair Use: All product names, logos, trademarks, and registered trademarks referenced within LAYX (such as Rolex, Chris Reeve Knives, Tudor, Benchmade, Spyderco, Tom Ford, etc.) are the property of their respective owners. Any reference to these marks within user catalogs, community drops, or factory specifications is strictly for nominative identification and cataloging purposes, and does not imply any affiliation, sponsorship, or endorsement by the respective trademark holders, unless explicitly designated with the ◆ VERIFIED ATELIER badge.

7. Copyright Infringement Notice & Takedown (DMCA & EU DSA Compliance)

We respect the intellectual property rights of creators worldwide. If you believe your copyrighted work has been infringed on LAYX, please submit a written notification under the US Digital Millennium Copyright Act (17 U.S.C. § 512) or the EU Digital Services Act (DSA) to our designated agent:

Your notice must include: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the allegedly infringing material with specific item/drop coordinates; (3) your contact details; (4) a statement of good-faith belief; and (5) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized representative.

8. Beta Software Status

LAYX is currently provided in closed beta testing (via Apple TestFlight and Google Play Closed Testing). You acknowledge that beta software may experience technical bugs, delays, or service interruptions. While we implement rigorous cryptographic safeguards, during the beta phase we may perform database schema migrations that reset non-encrypted test metrics with advance in-app notice.

9. International Sanctions & Export Control

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to an embargo by the European Union, United States, United Kingdom, or United Nations (e.g. OFAC sanctioned jurisdictions), and that you are not listed on any government denied-party or restricted-party list.

10. Disclaimer of Warranties (“As-Is”)

To the maximum extent permitted by applicable law, LAYX is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, statutory, or implied, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Mandatory Consumer Rights Carve-Out: Nothing in these Terms excludes, restricts, or modifies any statutory consumer guarantees, rights, or remedies that cannot be lawfully excluded under the consumer protection laws of your country, state, or province of residence (including under the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, or the Australian Consumer Law).

11. Limitation of Liability

To the fullest extent permissible by applicable law:

• Three Guys s.r.o., its directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill resulting from your access to or inability to access the service.
• Three Guys s.r.o. shall have no liability for data loss arising from your failure to preserve your 12-word recovery phrase.
• In no event shall our aggregate liability exceed the greater of the amount you have paid to us in the preceding twelve months or €50 (fifty euros).
• Non-Excludable Liability: Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from negligence, for gross negligence, willful misconduct, intentional fraud, or any liability that cannot be legally limited under applicable law.

12. Governing Law, Dispute Resolution & Global Consumer Protection

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Slovak Republic, without regard to conflict of law principles.
• Protection of Mandatory Consumer Rights: As a consumer, you benefit from any mandatory provisions of the law of the country or state in which you reside. Nothing in these Terms, including the choice of Slovak law, affects your right as a consumer to rely on such mandatory statutory provisions or to bring legal proceedings before the competent courts of your country of residence.
• EU Online Dispute Resolution: If you reside in the European Union, the European Commission provides an online dispute resolution platform accessible at ec.europa.eu/consumers/odr.

13. Termination & Account Deletion

You may terminate your agreement with LAYX at any time by deleting your account inside the app via Profile → Delete account (at the bottom of the Profile tab; see /delete-account/). We reserve the right to suspend or permanently terminate accounts that violate our zero-tolerance policy, trade restrictions, or applicable laws.
